AT today announced plans to spin out its various video businesses — DirecTV, AT TV, and U-Verse — into a new company that it will jointly control with TPG Capital. The deal for this new company, which will be led by AT US video boss Bill Morrow, is expected to close in the second half of 2021.
Dish Network is a U.S.-based direct-broadcast satellite service provider. The company is based in Englewood, Colo. The company started operations on March 4, 1996, as a service of EchoStar. AT owns Dish Network’s arch-rival, DIRECTV.
DirecTV is the larger of the two, with about 35 million subscribers compared with the roughly 14 million households served by Dish Network. The key differences between Dish and DirecTV lie in their pricing, DVRs and customer service. Dish also offers portable satellite service, unlike DirecTV.

TPG agreed to pay AT $16.25 billion.
The company said the transaction should close in the second half of 2021. The combined entity is expected to pay AT $7.8 billion, which the telecom company will use to reduce debt. AT also said that when the transaction closes, DirecTV’s CEO will be Bill Morrow, currently CEO of AT’s U.S. video unit.
Telecom giant AT, led by CEO John Stankey, has struck a deal to sell a minority stake in its satellite TV unit DirecTV, AT TV and its U-Verse business to private equity firm TPG. The companies will form a new venture, to be called DirecTV, that will own and operate the pay video services.
